  1. Introduction
    Welcome to Care Homies, operated by Wembury LLC ("Care Homies," "we," "our," or "us"). These Terms and Conditions ("Terms") form a binding agreement between you and Wembury LLC concerning your access to and use of our website, portals, SMS messaging, and related concierge and companion services (collectively, the "Services"). By using the Services, you agree to these Terms.

  2. Eligibility
    You must be at least 18 years old and have the legal capacity to enter into a contract. If you are accessing the Services on behalf of a senior, you represent that you are authorized to act on their behalf and to provide consents and information necessary to deliver the Services.

  3. Account Registration & Security
    You must provide accurate, current, and complete information and keep your credentials confidential. You are responsible for all activities under your account. Notify us immediately of any unauthorized access or security incident.

  4. Scope of Services
    Care Homies provides concierge and companion support, including: (a) appointment, medication, and wellness reminders (which may contain limited PHI); (b) companion and wellness calls; (c) shopping and order coordination for household items and groceries (e.g., Amazon, Uber Eats, local retailers); (d) transportation arrangements via Uber Health; (e) pharmacy pickup and delivery for non‑controlled, prepaid prescriptions that are ready for pickup; and (f) home services coordination, including obtaining quotes and booking service providers for tasks such as handyman, lawn care, plumbing, and HVAC (e.g., via Thumbtack or similar providers). Services are subject to availability, geographic limitations, and the applicable third‑party provider terms.

  5. Subscriptions; Payments & Billing
    The Services are offered on a monthly subscription basis with tiered usage limits described at purchase. By subscribing, you authorize recurring charges to your selected payment method until cancellation. Taxes may apply. Late, declined, or failed payments may result in suspension or termination. We may update prices on a prospective basis by posting updates and/or notifying you as required by law.

  6. Cancellations; Refunds
    You may cancel at any time via your account or by contacting support. Unless required by law or expressly stated for a plan, fees are nonrefundable once the monthly billing period has begun. We may, at our discretion, issue a prorated refund for service outages we cause.

  7. User Responsibilities
    You agree to (a) provide accurate information necessary to fulfill requests; (b) refrain from unlawful or abusive conduct; (c) use the Services for personal, non‑commercial senior support; (d) comply with applicable laws and third‑party terms; and (e) not attempt to access systems without authorization or interfere with the Services.

  8. Health & Safety Disclaimers
    Care Homies does not practice medicine, nursing, pharmacy, or provide medical advice. Content and reminders are informational and supportive only. Always consult licensed clinicians for diagnosis or treatment. In an emergency, call 911 immediately.

  9. Third‑Party Vendors & Integrations
    We coordinate with third‑party vendors (e.g., Amazon, Uber Health, Uber Eats, Thumbtack, pharmacies, and local providers) to fulfill requests. These vendors are independent contractors, not our employees or agents. Your use of their services is subject to the vendors’ own terms, privacy policies, service standards, and availability. We are not responsible for vendor performance, pricing, delays, workmanship, quality, or safety.

  10. Pharmacy & Controlled Substances
    We only coordinate pickup/delivery for prescriptions that are (a) non‑controlled; (b) already paid for; and (c) confirmed by the pharmacy as ready for pickup. We do not order, place, or pay for prescription refills on your behalf, and we do not transport medications ourselves.

  11. Transportation Services
    Transportation is facilitated via Uber Health and subject to Uber’s terms and availability. We do not operate vehicles, provide driving services, or assume liability for transport delays, incidents, or driver conduct.

  12. Communications; SMS Program
    With your consent, we may send SMS/text messages that can include limited personal or health‑related information necessary to deliver the Services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for help. See our Text Message Opt‑In Disclosure for details.

  13. Privacy; HIPAA
    Our handling of personal information is described in our Privacy Policy. With respect to Protected Health Information (PHI), we act as a Business Associate and protect PHI as described in our HIPAA Notice of Privacy Practices. We implement reasonable administrative, technical, and physical safeguards.

  14. Ownership; Acceptable Use
    All content and technology used to deliver the Services are owned by us or our licensors and protected by law. You may not reverse engineer, scrape, or use automated means to access the Services, or use the Services to develop competing offerings.

  15. Warranties; Disclaimers
    THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE SERVICE OR VENDOR PERFORMANCE.

  16. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; OR LOSS OF DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

  17. Indemnification
    You agree to defend, indemnify, and hold harmless Wembury LLC and its officers, employees, and agents from and against claims, damages, liabilities, costs, and expenses arising from your misuse of the Services or violation of these Terms.

  18. Suspension & Termination
    We may suspend or terminate access immediately for actual or suspected violations of these Terms, non‑payment, fraud, security risk, or to comply with law. Upon termination, your right to use the Services ceases.

  19. Changes to the Services and to these Terms
    We may modify the Services or these Terms prospectively. Material changes will be posted with a new effective date. Continued use after the effective date constitutes acceptance.

  20. Governing Law; Venue; Arbitration
    These Terms are governed by Texas law, without regard to conflicts principles. Any dispute shall be resolved by binding arbitration in Travis County, Texas, administered by a recognized arbitration provider, on an individual basis (no class actions). You and we waive jury trial rights. This section survives termination.

  21. Miscellaneous
    These Terms constitute the entire agreement; if any provision is unenforceable, the remainder remains in effect. We may assign these Terms; you may not without our consent. No waiver is implied by delay or omission.
